1. Identification and purpose
These Terms of Service (hereinafter, "Terms") govern the relationship between BYEreview (operating internationally; hereinafter, "BYEreview") and the professional, freelancer or company (hereinafter, "the Client") that engages the Google review removal management service.
Full identification details of BYEreview are set out in our Legal Notice.
The purpose of the service is professional intermediation to request the removal of reviews through Google's official reporting channels where such reviews infringe Google's content policies or applicable legislation. BYEreview does not access, modify or directly manipulate the Google platform.
2. Scope of application and B2B nature
These Terms apply exclusively to business-to-business (B2B) relationships. The Client declares that it is acting in the course of its professional, business or commercial activity — not as a consumer.
Accordingly, consumer protection rights, including any statutory cooling-off period, do not apply to this engagement. The relationship is governed by the principle of freedom of contract under applicable UAE commercial law.
3. Definitions
- Audit: a preliminary, complimentary analysis of the Client's Google Business Profile to identify reviews that may be eligible for removal. It does not give rise to a contractual obligation or guarantee of outcome.
- Commercial Proposal: the document sent to the Client following the Audit, detailing the reviews identified, the proposed strategy, the price per review and the specific terms of the engagement.
- Target Review: each specific review included in the Commercial Proposal accepted by the Client.
- Removal (Success): the non-visibility of the Target Review on the Client's public Google Business Profile, verified via incognito browsing. Removal is deemed to have occurred when the review is not accessible for a continuous period of 72 hours.
- Guarantee Period: the 60 calendar days following verification of the Removal.
4. Engagement process
The engagement of the service takes place in two phases:
Phase 1 — Complimentary audit (non-binding)
The Client submits the URL of its Google Maps listing via the web form. BYEreview carries out a preliminary analysis and identifies, where applicable, reviews that may be eligible for removal. This phase is informational and does not create a contractual commitment for either party. BYEreview assumes no liability for the content or conclusions of the Audit.
Phase 2 — Management service (binding)
If the Audit identifies removable reviews, BYEreview sends a Commercial Proposal to the Client. The contract is formed when the Client accepts the Commercial Proposal and these Terms in writing (email, electronic signature or any means that provides a record). From that point, BYEreview commences the removal process.
5. Nature of the service: obligation of means
BYEreview assumes an obligation of means, not of result. This means that BYEreview undertakes to deploy its best professional diligence using Google's official channels and the legal mechanisms available under applicable legislation, but cannot guarantee the removal of any review, as the final decision rests exclusively with Google.
BYEreview operates within the applicable legal framework and Google's official content policies. No manipulation techniques, hacking, review purchasing or any method that contravenes applicable law or platform policies are employed.
6. Client obligations
The Client undertakes to:
- Truthfulness: provide complete and truthful information about its business and the reviews subject to the service. The Client represents and warrants that the reviews flagged are indeed false, defamatory, fraudulent or in breach of Google's policies.
- Cooperation: provide any documentation or access that BYEreview may require during the management process (screenshots, evidence of falsity, business information).
- Non-interference: refrain from directly contacting the review author, Google or third parties in relation to the Target Reviews while BYEreview is managing the case, unless expressly authorised. Interference by the Client may compromise the strategy and entitles BYEreview to terminate the contract and invoice the management costs incurred.
Indemnification for false information: if the Client provides inaccurate information regarding the nature of the reviews and this gives rise to any claim by third parties (including the review author) against BYEreview, the Client undertakes to hold BYEreview harmless and to assume all costs, damages and indemnities arising therefrom.
7. Pricing and invoicing
The service is provided on a success-based billing model: the Client only pays fees when the effective Removal of a Target Review has been achieved, in accordance with the definition in section 3.
- Price: the fee per removed review is detailed in the Commercial Proposal accepted by the Client. There are no hidden costs or sign-up fees.
- Accrual: fees accrue at the moment BYEreview verifies the Removal and communicates the outcome to the Client.
- Invoicing: BYEreview will issue an electronic invoice within 5 business days of accrual. Amounts are stated in AED or USD as specified in the Commercial Proposal, exclusive of VAT unless otherwise indicated.
- Payment: the Client shall pay the invoice within a maximum of 15 calendar days from the date of issue, by bank transfer or the method specified in the Commercial Proposal.
- Late payment: late payment shall accrue interest at the rate prescribed by applicable UAE commercial legislation, without prejudice to any other remedies available to BYEreview.
The initial Audit is complimentary and does not give rise to any payment obligation.
8. Reappearance guarantee
If a Target Review that has been removed reappears on the Client's public profile during the Guarantee Period (60 calendar days) from verification of the Removal, BYEreview will reopen the case and carry out a new removal effort at no additional cost.
If the review cannot be removed again following this second effort, BYEreview will refund the Client the amount invoiced for that specific review.
This guarantee applies exclusively to the same review (same author, substantially the same content). A new review from a different author, or a review with substantially different content from the same author, constitutes a new case subject to a new Commercial Proposal.
9. Confidentiality
BYEreview undertakes to maintain the strictest confidentiality with respect to all information provided by the Client, including the very existence of the commercial relationship, business data, flagged reviews and the management strategy employed.
This confidentiality obligation extends for the duration of the contract and for 5 additional years following its termination, in accordance with applicable trade secrets legislation.
Should the Client require additional or more specific protection, BYEreview offers the possibility of entering into an individualised Non-Disclosure Agreement (NDA), supplementary to this clause, which will be negotiated and executed separately.
10. Limitation of liability
- BYEreview's total liability to the Client for any matter arising from the service shall be limited to the total amount invoiced under the relevant Commercial Proposal.
- BYEreview shall not be liable for indirect damages, loss of profit, loss of reputation or loss of business that the Client may allege as a consequence of the non-removal of a review or the outcome of the management process.
- BYEreview shall not be liable for Google's decisions regarding the acceptance or rejection of content removal requests, nor for changes in Google's policies that may affect the service.
- BYEreview shall not assume liability for third-party claims (review authors, competitors, platforms) arising from the legitimate exercise of the Client's rights, unless such claims are a direct consequence of BYEreview's negligence.
11. Duration and termination
The contract comes into effect upon acceptance of the Commercial Proposal and remains in force until one of the following occurs:
- Completion: all Target Reviews have been managed and the corresponding fees have been settled.
- Case closure: BYEreview determines, in its professional judgement, that a Target Review cannot be removed after exhausting all available avenues. In this case, BYEreview will notify the Client at no cost.
- Termination by the Client: the Client may terminate the contract at any time by written notice. If BYEreview has already achieved the removal of any review prior to termination, the Client shall pay the accrued fees.
- Termination by BYEreview: BYEreview may terminate the contract if the Client breaches its obligations (particularly those of truthfulness, cooperation or non-interference), upon prior notice to the Client.
12. Data protection
The processing of personal data provided by the Client is governed by our Privacy Policy, which details the legal bases, purposes, retention periods and data subject rights under applicable data protection legislation.
BYEreview will process the Client's data solely for the provision of the contracted service and the fulfilment of related legal obligations. Data will not be disclosed to third parties except as strictly necessary for case management (such as the public listing data included in Google reporting requests).
13. Applicable law and jurisdiction
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from the interpretation or performance of these Terms shall be submitted to the exclusive jurisdiction of the competent courts of the United Arab Emirates. In the event that either party is domiciled or registered within the Dubai International Financial Centre (DIFC) or the Abu Dhabi Global Market (ADGM), the courts of the relevant financial free zone shall have jurisdiction as a fallback forum.
Prior to judicial proceedings, the parties undertake to attempt amicable resolution of any disagreement through direct negotiation for a minimum period of 30 calendar days.
14. Modifications
BYEreview reserves the right to update these Terms to reflect regulatory, operational or service-related changes. Modifications will be published on this page with the corresponding date of update and will not affect contracts already formalised, which shall be governed by the Terms in force at the time the Commercial Proposal was accepted.
